Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, AI-powered voice and chat agents, and related services provided by SkyGem Software, LLC, doing business as SkyGem AI (“SkyGem AI,” “we,” “our,” or “us”). By accessing or using our website or services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our website or services.
1. Our Services
SkyGem AI develops and provides artificial intelligence solutions, including AI-powered voice agents, chat agents, conversational training and simulation agents, business-system integrations, and related technology services. Our solutions may respond to customer inquiries, answer and make telephone calls, conduct text conversations, manage appointments, exchange information with authorized systems, qualify leads, provide interactive training, integrate with calendars, CRM platforms, databases and APIs, and perform other configured automated functions.
Availability, capabilities, and functionality vary by implementation and client requirements. Services for business customers may also be governed by a separate service agreement, statement of work, order form, or other written agreement. If there is a conflict, the separately executed agreement controls for the covered services.
2. AI-Powered Services
Our services may use artificial intelligence and other automated technologies provided by SkyGem AI and third-party technology providers. Artificial intelligence systems are probabilistic and may occasionally produce inaccurate, incomplete, inappropriate, or unexpected responses. AI-generated information should not be assumed to be error-free.
You should independently verify information when accuracy is important and should not rely solely upon an AI-generated response for decisions that could have significant legal, medical, financial, safety, or other consequences. SkyGem AI does not represent that an AI agent will respond correctly or appropriately in every situation.
3. Voice Calls, Chat and Automated Communications
Our services may allow users to interact with AI agents through telephone calls, voice communications, text-based chat, or other communication channels. Users may be informed that they are interacting with an automated or AI-powered system where appropriate or required by applicable law. Voice conversations may be recorded or transcribed when those features are enabled, and appropriate notice or consent will be provided where required.
By continuing to interact with an AI agent after receiving any applicable disclosure or recording notice, you consent to the processing of the communication as described in our Privacy Policy, subject to applicable law.
4. Business-System Integrations
AI agents may interact with authorized third-party systems such as calendars, CRM platforms, scheduling systems, databases, email services, APIs, and other business applications. These integrations may retrieve, create, modify, or transmit information based on configured permissions. SkyGem AI is not responsible for interruptions, errors, data loss, changes in functionality, or other issues caused by third-party systems outside our reasonable control.
5. Acceptable Use
You agree not to use our website or services to violate applicable law; engage in fraudulent, deceptive, abusive, threatening, or unlawful conduct; infringe rights; introduce malicious software; gain unauthorized access; impersonate others; conduct unauthorized communications; circumvent security measures; or use an AI agent inconsistently with its authorized purpose. We may restrict or suspend access when we reasonably believe these Terms are being violated.
6. Customer Responsibilities
Business customers are responsible for ensuring that their use of AI agents and related services complies with applicable laws and regulations. Customers are responsible for the accuracy and legality of information, instructions, content, and data used to configure or operate their agents, and for obtaining necessary permissions, notices, and consents. Additional responsibilities may be established in the applicable service agreement or statement of work.
7. Third-Party Services
SkyGem AI may rely on third-party providers for AI processing, telecommunications, speech services, hosting, storage, analytics, calendars, CRM systems, and other functionality. Availability, policies, limitations, and performance of third-party services may affect your use, and these providers may be governed by their own terms and privacy policies.
8. Intellectual Property
The SkyGem AI website, branding, logos, designs, text, software, and other owned materials are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from SkyGem AI materials without written permission except as permitted by law. Custom-solution rights are governed by the applicable client agreement, and these Terms do not transfer SkyGem AI’s pre-existing technology, tools, methodologies, software, intellectual property, or know-how unless agreed in writing.
9. Privacy
Our collection and processing of personal information is described in our Privacy Policy. When SkyGem AI processes information on behalf of a business customer, additional privacy, security, or data-processing terms may apply under the applicable customer agreement.
10. No Professional Advice
Unless expressly agreed otherwise in writing, SkyGem AI and its AI agents do not provide legal, medical, financial, accounting, or other licensed professional advice. AI-generated information should not substitute for advice from an appropriately qualified professional.
11. Disclaimer of Warranties
Except as expressly provided in a written agreement with SkyGem AI, our website and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, SkyGem AI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability. We do not warrant uninterrupted, error-free, completely secure services or always accurate, complete, or appropriate AI-generated responses.
12. Limitation of Liability
To the fullest extent permitted by law, SkyGem Software, LLC and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages related to use of, or inability to use, our website or services, including loss of profits, revenue, business opportunities, goodwill, or data. Additional limitations for business customers are governed by the applicable service agreement. Nothing excludes liability that cannot legally be excluded or limited.
13. Suspension and Termination
We may suspend, restrict, or terminate access to our website or services when reasonably necessary to protect systems, users, customers, or third parties; comply with law; address security concerns; or respond to violations of these Terms. Termination of paid customer services is governed by the applicable service agreement.
14. Changes to Services and Terms
We may modify these Terms periodically to reflect changes in our services, technologies, business practices, or legal requirements. Updated Terms will be posted on this page with a revised effective date. We may modify, discontinue, or replace features of our website or generally available services. Material changes under a customer agreement will be handled in accordance with that agreement.
15. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law principles. Additional provisions concerning governing law, jurisdiction, dispute resolution, or arbitration for business customers may be established in the applicable customer agreement.
16. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
17. Entire Agreement
These Terms and our Privacy Policy constitute the agreement between you and SkyGem AI concerning general use of our website and services, except where a separate written agreement applies. For business customers, the applicable service agreement, statement of work, order form, data processing agreement, or other executed agreement may contain additional or different terms and will control where expressly provided.
